Terms of service
Effective October 9, 2026
These terms are an agreement between you and Zia Code LLC (“ZiaCode”, “we”, “us”). They cover this website, the ZiaCode Direct subscription, and custom software work we do for you. By using the website, subscribing, or accepting a quote from us, you agree to them. If you use ZiaCode for a business, you confirm that you may agree to them for that business.
1. What we offer
- ZiaCode Direct: a subscription to our business software for one business, run in your browser at app.ziacode.com.
- Custom software work: software, websites and related services we build for you under a written quote.
- The partner program: offered under a separate written agreement with each partner.
We sell to businesses and organizations, not to consumers for personal use.
2. Your account
Give us accurate information and keep it up to date. Keep your sign-in details safe: you are responsible for what happens under your account, including what your staff do. Tell us straight away if you think someone has used your account without permission.
3. ZiaCode Direct subscriptions
- A subscription starts with a 14-day free trial. A card is required at sign-up and nothing is charged during the trial.
- When the trial ends, we charge your card for the first billing period, then at the start of each period until you cancel. You authorize these recurring charges when you subscribe.
- Prices are in US dollars and do not include sales tax, which we add where the law requires it.
- We may change prices with at least 30 days’ notice by email. A new price applies from your next billing period after the notice ends.
- If a charge fails, we will try again and tell you. If it still has not been paid after 14 days, we may pause your subscription until it is.
- You can cancel at any time. Cancelling and refunds are covered by our refund and cancellation policy.
- ZiaCode Direct is for running your own business. You may not resell it or offer it to other businesses; the partner program is for that.
4. Custom software work
- Each project is described in a written quote: the work, the price, the payment schedule and any deposit. A quote you accept, together with these terms, is our agreement for that project. If the two disagree, the quote wins.
- Changes to the work are agreed in writing and may change the price or the schedule.
- When you have paid for the work in full, you own the software we wrote specifically for you, unless the quote says otherwise. We keep the tools, libraries and general know-how we used, and you get a permanent license to use any of them that are part of what we delivered. Open-source parts stay under their own licenses.
- We may describe the project in general terms in our portfolio, unless you ask us not to or the quote says otherwise. We keep your confidential information confidential.
5. Invoices and payment
- Invoices are due on the date shown on each invoice.
- You can pay by credit or debit card, or by bank transfer (ACH debit) from a US bank account, through the payment link on the invoice.
- When you pay by bank transfer, you authorize us to debit your account once for the amount you confirm. If a debit is returned, for example for insufficient funds, the invoice becomes unpaid again and we will contact you.
- If an invoice is more than 30 days late, we may pause work on your project until it is paid. We charge late fees only if your quote says so.
6. Payment processing
Card and bank payments are handled by our payment processor. You enter your card or bank details on the processor’s secure form: we never see or store your full card number or bank account number, only details such as the card brand and its last four digits.
7. Acceptable use
You may not use ZiaCode, or software we host for you, to:
- break the law, or help anyone else break it;
- send messages to people who have not agreed to receive them, or spam;
- infringe anyone’s rights, or upload anything harmful, such as malware;
- try to reach data or parts of our systems that are not yours, or disrupt them for others;
- copy, resell or reverse-engineer our software, except as the law allows.
If you use ZiaCode Direct to message your customers by text or email, you are responsible for having their consent and for following the laws that apply to those messages.
8. Text messages (SMS)
This section is for the customers of businesses that use ZiaCode Direct, who receive text messages from those businesses.
- The program. A business that uses ZiaCode Direct can send its customers text messages through it: appointment confirmations, reminders and follow-ups, and updates about their bookings, payments and account with that business. When the notice you agreed to says so, the messages can also include offers and news from the business (marketing messages). The messages come from the business; ZiaCode provides the service that sends them.
- Consent. You receive these messages only after you agree to them: by ticking the box (never ticked for you) when you book or create a profile on a business’s ZiaCode Direct page, or by agreeing in person after the business shows you the same notice. Agreeing is not a condition of any purchase.
- Frequency. How many messages you get depends on your appointments, your account activity and, for marketing messages, the business’s offers.
- Cost. Neither ZiaCode nor the business charges you for these messages. Message and data rates from your wireless carrier may apply.
- Stop or get help. Reply STOP to any message to stop them, marketing messages included. You’ll get one message confirming it, then no more. Reply START to receive them again. Reply HELP for help, or email [email protected].
- Carriers. The program works on the major U.S. carriers, including AT&T, Verizon, T-Mobile and others. Carriers are not liable for delayed or undelivered messages.
- Privacy. How we handle your number and your consent is described under “Text messages” in our privacy policy. We never share or sell them for marketing.
9. Your data
The information you put into ZiaCode Direct about your business and your customers is yours. We use it only to provide and support the service, as our privacy policy describes. If you want a copy of it, ask us before your subscription ends.
10. Availability and changes
We work to keep ZiaCode Direct available and secure, but we cannot promise it will never be interrupted, for example during maintenance or an outage of a provider we depend on. We improve the software over time and may change or remove features; if a change removes something important you pay for, we will tell you in advance.
11. Disclaimer
Except as these terms or a quote expressly say, ZiaCode and our work are provided “as is”, without warranties of any kind, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
12. Limitation of liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or lost data, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose. These limits do not apply to your obligation to pay what you owe.
13. Indemnity
You will cover our reasonable costs from a claim by someone else that arises from your breach of these terms or from content you give us to use.
14. Ending the agreement
You can stop using ZiaCode at any time. We may suspend or end your access if you seriously or repeatedly break these terms, or if we have to by law. Sections 4 (ownership), 5 (amounts owed), 11, 12 and 13 continue after the agreement ends.
15. Law and disputes
These terms are governed by the laws of the State of New Mexico. Before going to court, we each agree to try to settle a dispute by talking it through.
16. Changes to these terms
We may update these terms. We will post the new version here with its effective date, and email subscribers about important changes at least 30 days before they take effect.
